Terms of service

These Terms of Service ("Terms") form a binding agreement between you (or, if you are acting on behalf of a company, that company) and Virtual Stage Design, Inc. ("Virtual Staging", "we", or "us"). By creating an account or using any part of the Virtual Staging platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the service.

1. Eligibility and accounts

You must be at least 18 years of age and legally permitted to enter into a binding contract in your jurisdiction to use Virtual Staging. By using the service you represent and warrant that you meet these requirements. If you are accepting these Terms on behalf of a business entity, you represent that you have the authority to bind that entity.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@virtualstagedesign.com if you suspect any unauthorised access to or use of your account. Virtual Staging cannot be held liable for losses arising from unauthorised account access that result from your failure to protect your credentials.

Each account is for a single named user unless you have purchased a Team or Enterprise plan that explicitly allows multiple seats. Sharing login credentials across individuals not covered by your plan is a material breach of these Terms and may result in suspension or termination. Enterprise accounts subject to a separate Master Service Agreement are additionally governed by that agreement.

2. Permitted use

Virtual Staging grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform for your own lawful real estate marketing purposes, subject to these Terms and any plan limits that apply to your subscription. You may use staged images produced by the platform in property listings, marketing materials, and client presentations in accordance with the licence granted under Section 5 below.

By uploading any image, you represent and warrant that you own the image or hold all rights necessary to upload it and grant us the processing licence described in these Terms. You must not upload images of properties for which you do not have authorised marketing rights, images that depict persons without their consent, or any content that is illegal, defamatory, or obscene. We reserve the right to remove any content that violates this provision without notice.

You agree to use Virtual Staging outputs in compliance with all applicable listing regulations, including MLS rules, real estate advertising standards, and consumer protection laws in your jurisdiction. Many markets require that virtually staged images be labelled as such in property listings. It is your sole responsibility to determine and comply with the disclosure requirements that apply to your listings. Virtual Staging includes an optional automatic watermark feature to assist compliance, but enabling or disabling it does not alter your legal obligations.

You must not use the platform to stage images in a manner that materially misrepresents the physical condition or structural layout of a property. Virtual Staging may be used to furnish empty spaces, update decor, and improve visual presentation, but must not be used to conceal defects, alter room dimensions, remove structural elements, or present features that do not exist in the property.

3. Credits and billing

Access to the AI staging pipeline is metered through a credit system. Each completed render consumes one credit, regardless of image resolution or the style selected. Credits are allocated to your account each billing cycle based on your subscription plan, or may be purchased as one-time add-on bundles from the Credits page. Credits allocated with a subscription expire at the end of the billing cycle in which they are issued and do not roll over unless your plan explicitly provides rollover allowances. Purchased add-on credits do not expire.

Subscription fees are billed in advance on a monthly or annual basis depending on the billing period you selected at signup. Annual plans are invoiced upfront for the full year and are non-refundable except as described below. Monthly plans may be cancelled at any time; cancellation takes effect at the end of the current billing period, and no partial-month refunds are issued. If you upgrade your plan mid-cycle, you are charged a prorated amount for the remainder of the current period.

Refunds for unused credits or subscription fees are issued at our discretion for documented service outages that prevent rendering for more than four consecutive hours. To request a credit or refund related to a service outage, contact billing@virtualstagedesign.com within 14 days of the incident with your account email and a description of the issue. We do not issue refunds for credits consumed as a result of user error, dissatisfaction with a style output, or inputs that produced unexpected results.

If a payment fails, we will attempt to charge your payment method again on days 3 and 7 after the initial failure. If payment is not successfully collected within 10 days, your account will be downgraded to a limited free tier and your queued renders will be paused. Access to previously completed renders is retained during this period. Enterprise customers with invoiced billing terms are subject to the payment schedule in their enterprise contract.

4. Acceptable use policy

You must not attempt to reverse-engineer, decompile, or extract the underlying AI models, weights, or algorithms that power Virtual Staging. You must not use automated tools, scripts, or bots to access the platform in a manner that exceeds the API rate limits documented in our developer documentation or that would impose unreasonable load on our infrastructure. Violations of rate limits may result in temporary or permanent API key suspension.

You must not use the service to generate content for purposes unrelated to real estate marketing, including but not limited to advertising products, generating social media content for non-property subjects, or creating synthetic interior images for use in other AI training pipelines. Reselling access to the platform or white-labelling the service without an authorised reseller agreement is strictly prohibited.

You must not upload images that contain personally identifiable information of individuals, including visible faces, licence plates, or medical equipment, without appropriate consent. If such content is present in a source image, you must blur or redact it before uploading. Virtual Staging's automated scanning may flag non-compliant uploads, but this does not substitute for your own review obligations.

5. Intellectual property

You retain full ownership of all source images you upload to Virtual Staging. By uploading an image, you grant Virtual Staging a limited, worldwide, royalty-free licence to process, transform, and store that image solely for the purpose of delivering the service to you. This licence terminates when you delete the image or close your account, subject to any retention periods required by law.

For paid subscribers, Virtual Staging assigns to you all rights, title, and interest in the AI-generated output images produced from your uploads. You may use these outputs for commercial real estate marketing purposes without restriction, subject to the usage rules in Section 2. You do not need to attribute Virtual Staging in your listings unless required by a specific MLS or regulatory body.

Free plan outputs are provided under a personal evaluation licence only. You may not use watermarked free-plan outputs in published listings, client materials, or any commercial context. If you publish or distribute free-plan outputs without upgrading, Virtual Staging reserves the right to pursue all available legal remedies. Upgrading your account grants you the commercial licence described above for all renders completed after the upgrade date.

The Virtual Staging platform, including its software, design, trademarks, logos, and documentation, is and remains the exclusive intellectual property of Virtual Staging AI, Inc. Nothing in these Terms grants you any right to use our name, logo, or branding without prior written permission. All rights not expressly granted to you are reserved.

6. Disclaimers and limitation of liability

Virtual Staging is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or that any specific output will meet your aesthetic requirements. AI-generated images are inherently variable and the quality of outputs depends on the quality and composition of your source images.

To the maximum extent permitted by applicable law, Virtual Staging's total cumulative liability arising out of or related to these Terms or your use of the service — whether in contract, tort, or otherwise — shall not exceed the greater of (a) the amounts you paid to Virtual Staging in the 12 months preceding the event giving rise to the claim, or (b) US$100. In no event shall Virtual Staging be liable for any indirect, incidental, special, consequential, or punitive damages, even if we have been advised of the possibility of such damages.

7. Termination

You may close your account at any time from your account settings. We may suspend or terminate your account immediately and without notice if you materially breach these Terms, engage in fraudulent activity, or use the platform in a way that causes harm to Virtual Staging or other users. Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days after termination to allow you to request an export, after which it will be permanently deleted subject to legal retention requirements.

Sections 5 (Intellectual Property), 6 (Disclaimers and Limitation of Liability), and 8 (Governing Law) survive the termination of these Terms.

8. Governing law and disputes

These Terms are governed by the laws of the State of California without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the service shall first be submitted to informal resolution by contacting legal@virtualstagedesign.com. If informal resolution fails, disputes shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, and judgment on the award may be entered in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

If you are a consumer located in the European Union, nothing in these Terms limits your rights under mandatory consumer protection laws applicable in your country of residence, and you may also bring claims before the competent courts of your country of residence.
